SBA Lender Referrals

The U.S. Small Business Administration (SBA) has very stringent requirements for funding acquisition transactions. Often times, deals don’t make it through due to unforeseen aspects uncovered during diligence by SBA underwriters. 


IAG maintains partnerships with several experienced SBA-approved financial institutions capable of funding even the most challenging deals. In fact, our network includes sources from over 100 nationwide banks. 


When you receive a Letter of Intent (LOI) to purchase your business from one of our qualified buyers, we will start the pre-qualification process for SBA funding in advance. This way, the deal has less bumps down the road than it needs to and diligence can proceed unhindered by SBA qualifications.

Structuring the transaction as an asset sale will have different tax ramifications than structuring the transaction as a stock sale, and both sides should appreciate and be mindful of the differences.

ESOP Transaction Services

Business owners seeking to sell their business are always looking for ways to minimize corporate taxes and maximize cash preservation, while also maintaining competitive employee benefits. An ESOP combines the financial interests of the employees with those of the original shareholders so that teamwork and a long-range investment perspective towards the business are in everyone’s self-interest.


If the ESOP acquires 30% or more of the outstanding stock of a privately-held company, any capital gains tax on the transaction is deferred indefinitely. In the case of an S corporation that is 100% owned by its ESOP, the company’s earnings will be entirely tax-exempt.
