IAG M&A Advisors is thrilled to announce the successful sale of our sell-side client, 4 Seasons Equipment Company, located in Tupelo, Mississippi, to a private family office. The transaction closed after more than a year of work following the signing of the Letter of Intent in July 2025.
4 Seasons Equipment Company is a family-owned outdoor power equipment dealer with locations in Tupelo and Oxford, Mississippi. A multi-location dealership carrying premier manufacturer lines, with an established service department and a loyal regional customer base, is exactly the kind of business a long-term buyer like a family office looks for. Getting it across the finish line, however, took patience, skill, and a team effort.
Deal highlights
- Private family office buyer. The business was acquired by a private family office, a buyer with a long-term ownership horizon well suited to a legacy family business.
- Seven manufacturer approvals secured. The deal required complex corporate sign-offs from premier brands including Kawasaki Off-Road, Cub Cadet, Exmark, E-Z-GO, and Can-Am.
- A year-long process, seen through to closing. More than a year passed between the LOI in July 2025 and closing, with operational, financial, and legal hurdles along the way.
- A multi-location legacy preserved. Both the Tupelo and Oxford locations continue under new ownership.

How the process worked
This transaction was a true test of patience and skill. John managed an extraordinary series of operational, financial, and legal hurdles while protecting the client’s interests at every turn.
Seven manufacturer approvals. Dealerships don’t just transfer inventory and real estate. They transfer relationships with the manufacturers whose products they sell. Each brand has its own approval process for a new owner, and securing seven of them, including Kawasaki Off-Road, Cub Cadet, Exmark, E-Z-GO, and Can-Am, required careful coordination and persistence.
Mid-deal business changes. The company introduced new product lines in the middle of negotiations. Rather than letting those changes derail the deal, John worked them into the transaction so the value of the expansion was accounted for.
Real estate obstacles. An uncooperative incoming landlord caused months of administrative delays. Keeping both sides committed through that stretch was critical to preserving the deal.
Eleventh-hour legal drama. Just before closing, the buyers’ attorney unexpectedly resigned. John stabilized the transaction structure and kept the momentum going until the deal was done.
Why this outcome matters to sellers
If you own a dealership or other multi-location business, a few takeaways are worth carrying forward:
- Manufacturer and franchisor approvals can be one of the longest parts of the process. Plan for them early and work with an advisor who knows how to manage them.
- Deals rarely go in a straight line. Changes in the business, landlord issues, and changes on the buyer’s side are all common. What matters is having someone in your corner who keeps the deal moving.
- Family offices and other long-term buyers value established brands, multiple locations, and a proven service operation.
- A strong outcome takes the whole team, from the first conversation through closing day.
Looking ahead
